        SOFTWARE PROGRAM: Application Developer's Package for C/C++ V1.0
	

        This document is the legal agreement governing your use of the
        Software.  

        
                                 LICENSE TERMS


    1.  GRANT

        Digital Equipment Corporation ("DIGITAL") grants you the right
        to use the Software Program Version (the "Software") specified
        above, plus any prior version, on an unlimited quantity of
        computers.

        You may copy the Software into the local memory or storage
        device of an unlimited quantity of computers.  

        DIGITAL grants you a license to use and modify the source code
        version and to reproduce and distribute portions of the Software
        which are located in the [SYSHLP.EXAMPLES.APPDEV...] and
        .\appdev\... directories which are created after the Software is
        installed on a hard disk ("Sample Code").  You may not use
        DIGITAL's name, logos, or trademarks, unless agreed in a
        separate agreement.  You agree to indemnify and hold DIGITAL
        harmless for all claims and related expenses incurred by DIGITAL
        as a result of your use or distribution of your software
        application product or the Sample Code.

        You may permanently transfer your rights to use the Software,
        the Software itself including any updates to the specified
        version of the Software, and the accompanying documentation
        including this License Agreement, provided the recipient agrees
        to the terms of this License Agreement.  


    2.  COPYRIGHT

        The Software is owned by DIGITAL and its suppliers and is
        protected by copyright laws and international treaties.  Your
        use of the Software and associated documentation is subject to
        the applicable copyright laws and the express rights and
        restrictions of this License Agreement.

    3.  RESTRICTIONS

        You may not rent, lease, or otherwise transfer the Software
        except as expressly authorized in this License Agreement.

        You may not remove any copyright, trademark or other proprietary 
        notices from the Software or the media.


                        LIMITED WARRANTY AND LIABILITY
    
        LIMITATION OF LIABILITY: THE PRODUCTS AND PRODUCT INFORMATION
        FURNISHED HEREUNDER ARE FURNISHED "AS IS".  DIGITAL DISCLAIMS
        ALL WARRANTIES THAT MAY BE IMPLIED ON THE PRODUCTS INCLUDING,
        WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY
        AND FITNESS. IN NO EVENT WILL DIGITAL BE LIABLE FOR ANY DAMAGES
        WHATSOEVER, INCLUDING LOSS OF DATA OR USE, LOST PROFITS OR ANY
        INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN
        CONNECTION WITH THIS AGREEMENT OR THE USE OR PERFORMANCE OF THE
        PRODUCTS, WHETHER IN AN ACTION OF CONTRACT OR TORT INCLUDING 
        NEGLIGENCE.

    	    
                           U.S. GOVERNMENT CUSTOMERS

    Commercial Computer Software, and Computer Software Documentation,
    and Technical Data for Commercial Items are licensed to the U.S.
    Government with Digital's standard commercial license and, when
    applicable, the rights in DFAR 252.227-7015, "Technical Data -
    Commercial Items."


                                    GENERAL

    You are responsible for compliance with all applicable export or
    re-export control laws and regulations if you export the Software.

    This Agreement is governed by and is to be construed under the laws
    of the Commonwealth of Massachusetts.

        All registered and unregistered trademarks are the sole property
        of their owners, and are specifically listed in the Software
        Prouduct Description or user documentation for this Software
        Program.
